Job Summary:   The Corporate Attorney serves as in-house legal counsel for the organization and provides legal and strategic guidance related to healthcare operations, regulatory compliance, corporate governance, risk management, and commercial real estate transactions. This position supports corporate and facility operations across multiple states, including Arizona, New Mexico, Oklahoma, Texas, Utah and South Dakota.

The ideal candidate will possess extensive experience in healthcare law and commercial real estate transactions within a multi-state healthcare environment and demonstrate the ability to advise executive leadership on complex legal and operational matters.
 


Essentials Job Responsibilities/Duties:
 
  • Provide legal counsel and strategic guidance to executive leadership and operational departments.
  • Draft, review, revise, and negotiate a broad range of legal agreements and contracts.
  • Advise leadership regarding healthcare regulatory compliance and operations legal matters across multiple states.
  • Support and oversee commercial real estate transactions including acquisitions, leases, construction agreements, development projects and property sales.
  • Review physician agreements, vendor contracts, management agreements, employment agreements, and service contracts.
  • Assist with mergers, acquisitions, joint ventures, and corporate structuring initiatives.
  • Ensure organizational compliance with applicable federal and state healthcare laws and regulations.
  • Monitor regulatory changes affecting healthcare operations within Arizona, New Mexico, Oklahoma, Texas, and South Dakota.
  • Collaborate with Human Resources regarding employment-related legal matters and investigations.
  • Manage litigation matters and coordinate with outside legal counsel as necessary.
  • Support risk management initiatives, policy development, and internal compliance programs.
  • Assist with board governance, corporate records management, and legal documentation.
  • Provide legal interpretation and operational guidance to facility and corporate leadership.
  • Maintain strict confidentiality regarding all legal, business, and operational matters.
Qualifications & Experience:
  • Juris Doctor (J.D.) degree from an accredited law school required.
  • Active license to practice law in the state of Texas required.
  • Member in good standing with the state bar of Texas.
  • Additional state licensure or ability to obtain multi-state licensure preferred.
  • Minimum of 10 years’ experience in healthcare and real estate transactions.
  • Prior in-house counsel experience in a healthcare organization strongly preferred.
  • Experience supporting hospitals, physicians’ groups, ambulatory facilities, or healthcare management companies preferred.
  • Experience working in a multi-state operational environment is preferred.
PHYSICAL REQUIREMENTS
  • Prolonged periods of sitting and computer work.
  • Ability to travel to healthcare facilities and business locations within supported states if needed.
  • Ability to communicate effectively in person, by phone, and electronically.

  • Professional corporate office environment in Dallas, Texas.
  • May require flexibility to address urgent legal and operation matters outside standard business hours.
